This policy sets out the terms of the OTÊLI referral program. Taking part in the program means accepting these terms.
Article 1 — Program organiser
The OTÊLI referral program (the “Program”) is organised by Le15, a sole proprietorship registered under SIRET no. 93047616300017, with its registered office in Marseille (France), publisher and operator of the OTÊLI SaaS software (“OTÊLI”, “we”, “the Publisher”).
Article 2 — Purpose
2.1. The Program allows any eligible person (the “Referrer”) to recommend OTÊLI to hospitality establishments that are not yet customers (the “Referral”) and to receive a reward when a Referral subscribes to a paid OTÊLI plan under the terms of this policy.
2.2. The Program has two levels:
- the Referral level (article 4 onwards), open to everyone, governed entirely by this policy;
- the Partner level (article 13), reserved for professionals bringing in several establishments, governed by a separate distribution agreement and not by this policy.
2.3. This policy is a unilateral document issued by the Publisher. Taking part in the Program constitutes full acceptance of its terms.
Article 3 — Nature of the relationship — no agency
3.1. The Referrer acts in their own name, on their own initiative and without any relationship of subordination. The Referrer is neither an agent, a commercial agent, a representative, nor an employee of the Publisher, under French law (art. L.134-1 et seq. of the Commercial Code) or OHADA law (art. 216 et seq. of the Uniform Act on general commercial law).
3.2. The Referrer has no power to negotiate OTÊLI’s prices or terms, represent the Publisher, contract in its name, collect payments on its behalf, or bind it towards any third party. The Referrer is given no territory, no sales target, no exclusivity and no prospecting mission.
3.3. The Referral subscribes directly with the Publisher, on their own initiative. The Referrer does not take part in negotiating or concluding that subscription. Their role is limited to sharing a link or a code.
3.4. The reward provided for in article 7 is a one-off gratuity attached to a conversion, not the remuneration of an ongoing or permanent assignment.
3.5. If a Referrer’s recommendation activity becomes organised, recurring or takes on a professional character (structured outreach to a sector or territory, significant volume, ongoing assignment), the Referrer must inform the Publisher and request a move to the Partner program (article 13), which frames this situation with a written agreement. The Publisher may make further payments conditional on this regularisation.
Article 4 — Eligibility
4.1. Any adult natural person or any legal entity, whether or not an OTÊLI customer, with a valid email address, may become a Referrer.
4.2. The following may not take part: the Publisher, its officers and employees, persons connected to them, and any person acting on behalf of an establishment in order to refer themselves (article 6.3).
4.3. The Publisher may refuse a registration or exclude a Referrer, at any time and without compensation, in the event of a breach of this policy, fraud, conduct damaging OTÊLI’s reputation, or misleading communication about the Program.
Article 5 — Registration and referral code
5.1. Registration is done via the dedicated form on oteli.app. It constitutes timestamped acceptance of this policy.
5.2. The Program is currently in preparation: registration constitutes an expression of interest, no code is yet active and no reward is due. Registrants are contacted when the Program actually launches.
5.3. At launch, each Referrer receives a unique referral link and code, available from their account. The code is personal and non-transferable.
Article 6 — Linking a Referral
6.1. An establishment is recognised as a Referrer’s Referral when that Referrer’s code is entered when the establishment’s account is created, before any paid subscription.
6.2. The link is permanent and exclusive: an establishment can only be linked to one Referrer, and this link remains attached to the establishment permanently.
6.3. Self-referral prohibited: the code must belong to another establishment, managed by another person. A Referrer may not refer an establishment of which they are the manager, an officer or an employee, or with which they have a connection that would deprive the referral of substance.
6.4. No poaching of existing prospects: an establishment already in a commercial relationship with the Publisher (ongoing quote, documented exchange, trial already activated at the Publisher’s initiative) before the code is entered does not give rise to a reward. The Publisher assesses this condition in good faith.
Article 7 — Referrer’s reward
7.1. Triggering event. The reward is due when both of the following conditions are met:
- the Referral’s first subscription payment is confirmed — regardless of the payment method (card via the platform, or another method arranged with the OTÊLI team);
- the Referral’s subscription is still active and in good standing at the end of a 30-calendar-day clearance period running from that first payment.
7.2. Amount. The reward is 25 % of the amount actually received by the Publisher for the Referral’s first payment, capped at the equivalent of 25 % of three (3) months’ subscription for the plan subscribed. It is calculated on the sum actually received, after any discount. The detailed rate schedule (amounts by plan and currency) is published as an appendix at the Program’s launch.
7.3. No cap on the number of referrals. The number of Referrals a Referrer may bring in is not limited, subject to articles 3.5 and 8.
7.4. Subscription credit option (customer Referrers). A Referrer who is themselves an OTÊLI customer may choose to receive their reward as a credit applied to their own subscription, instead of a payment. This credit is neither transferable nor redeemable for cash.
Article 8 — Payment terms
8.1. Release. The reward is credited to the Referrer’s account once the conditions of article 7.1 are met.
8.2. Minimum payout threshold. A payout can only be requested once a minimum threshold equivalent to the reward for two (2) conversions on the Starter plan is reached (absolute amount specified in the schedule appended at launch). Below that, the reward remains acquired and cumulative, subject to article 8.7.
8.3. Frequency. Payouts are processed in periodic (monthly) cycles, subject to the threshold of article 8.2 and the timeframes of the chosen channel.
8.4. Channel and fees. The Referrer chooses their payout channel (bank transfer, mobile money, or subscription credit if they are a customer). Transfer and currency-conversion fees are borne by the Referrer: the net amount received may differ from the gross reward.
8.5. Tax regularisation.
- As long as the annual cumulative total (calendar year) of rewards paid to a Referrer remains below €2,400 incl. tax, the payout is made directly. The Referrer, acting occasionally, acknowledges being solely responsible for declaring these sums under their tax and social-security obligations in their country of residence.
- Once this total reaches €2,400 incl. tax in a calendar year, any payout is subject to the Referrer providing a compliant invoice issued in their name by a duly registered professional (sole trader, company, or equivalent status in their country). Failing an invoice, the Publisher, at the Referrer’s choice, withholds the sums concerned pending regularisation, or converts them into an OTÊLI service credit of equal value, neither transferable nor redeemable for cash. Absent a choice within 90 days, withholding applies by default.
- The Publisher makes the tax filings incumbent upon it in respect of sums paid.
- A Referrer who crosses this threshold, or whose referrals become regular, falls under article 3.5 (move to the Partner program).
8.6. Non-resident Referrer. For any payout to a Referrer established outside France exceeding the threshold of article 8.5, the Publisher may request a tax residence certificate. Failing that, the Publisher applies the withholding tax provided for by French law, unless a bilateral tax treaty applies.
8.7. Time limit. A released reward left unclaimed (threshold never reached, payout details not provided) is forfeited after 24 months from its release.
Article 9 — Reward clawback
9.1. If, after a reward is released, the Referral’s first payment is subject to a refund, bank chargeback, cancellation or confirmed fraud, the Publisher may claw back the corresponding reward.
9.2. The clawback is carried out by offsetting against the Referrer’s subsequent rewards or, failing that, by repayment on first request.
9.3. No reward is due if the cancellation or refund occurs during the clearance period of article 7.1.
Article 10 — Referral’s benefit
10.1. Any establishment that subscribes to a paid plan with a valid referral code receives one (1) extra month of subscription free, credited after confirmation of its first payment, in the form of a deferral of its next billing date.
10.2. This benefit is neither combinable with another promotional offer covering the same period, unless stated otherwise, nor redeemable for cash.
Article 11 — Fraud and abuse prevention
11.1. Each conversion is validated by the Publisher before a reward is released.
11.2. The following, in particular, are considered abuse: creating fake establishments, direct or indirect self-referral (article 6.3), collusion between Referrer and Referral to artificially inflate the reward, misleading communication about the Program, spam.
11.3. In the event of abuse, the Publisher may cancel the rewards concerned, exclude the Referrer from the Program and close their access, without prejudice to any action for damages.
Article 12 — Personal data
12.1. The data controller is Le15. Data collected via the form (name, email address, country, declared profile, preferred payout channel, optional message) is processed for the purpose of managing the Program (pre-contractual step and performance of this policy) and, for registrations during the preparation phase, on the basis of the Publisher’s legitimate interest in building a list of founding Referrers.
12.2. Bank or payout details provided later are processed solely for paying rewards and the related accounting and tax obligations.
12.3. Data is kept for the duration of the Program and then archived in accordance with statutory retention periods. The Referrer has the rights of access, rectification, erasure, objection and portability, exercisable at privacy@oteli.app.
12.4. This article supplements OTÊLI’s Privacy Policy, which forms an integral part of these terms.
Article 13 — Partner program
13.1. Professionals (consultants, integrators, agencies, country or market distributors) bringing in several establishments fall under the Partner program, distinct from the Referral program.
13.2. The Partner program is governed by an individual written distribution agreement setting out the rate schedule, the payout frequency and channel, any territory and the mutual obligations. This policy does not apply to it.
13.3. A Referrer may not combine the Referral and Partner programs: joining the Partner agreement replaces participation in the Referral program.
Article 14 — Duration, amendment, suspension and end of the Program
14.1. The Program runs for an indefinite term.
14.2. The Publisher may amend this policy at any time. Substantial changes are published and notified to registered Referrers at least 30 days before they take effect. Continued participation after that date constitutes acceptance.
14.3. The Publisher may suspend or close the Program on reasonable published notice. Rewards already released at the effective date remain acquired and are paid under the terms of articles 8 and 9. Referrals in their clearance period are seen through to term.
14.4. Participation in the Program confers no vested right to its continuation, to a given reward level, or to any compensation in the event of amendment or termination of the Program.
Article 15 — Governing law and jurisdiction
This policy is governed by French law. Any dispute relating to its formation, performance or interpretation falls, failing an amicable settlement, within the jurisdiction of the courts of Marseille, consistent with OTÊLI’s General Terms of Use and Sale.
